Experienced Investors in the United Kingdom and the European Union are equivalent to "Accredited Investors."
In the United Kingdom and the rest of Europe, the term "Experienced Investors" is synonymous with the term "Accredited Investor" in the United States. While the two terms differ in their application of the rules, they both serve to protect investors from risky investments.
To be eligible to make an investment – and in many cases, even to view a company's documents – the investor must meet the definition of "Experienced Investor" as defined in the Financial Services (Experienced Investor Funds) Regulations, 2012. An Experienced Investor is defined as a person or entity who, at the time of investment, falls into one of the following categories:
(a) A person or partnership whose ordinary business or professional activity includes, or is reasonably expected to include, the acquisition, underwriting, management, holding, or disposal of investments, whether as principal or agent, or the provision of investment advice.
(b) A legal entity with net assets in excess of €1,000,000 or a member of a group with net assets in excess of €1,000,000.
(c) A unincorporated association with net assets of more than €1,000,000.
(d) The trustee of a trust where the total value of the cash and investments constituting the trust's assets exceeds €1,000,000.
(e) A person whose net worth, or joint net worth with his or her spouse, exceeds €1,000,000, excluding the person's principal place of residence.
(f) A participant with a current aggregate investment of €100,000 in one or more experienced investor funds.
(g) A participant who invests at least €50,000 in an experienced investor fund and has been advised to do so by a professional adviser, and the fund's administrator has received confirmation of such advice.
(h) A participant who is a professional client as defined by the Financial Services (Markets in Financial Instruments) Act of 2006.
(i) A participant in a fund that has re-domiciled in Gibraltar, where the Authority has approved the inclusion of such participant in respect of a specific fund or generally in respect of funds or a category of funds from a specific jurisdiction.
The minimum investment for an Experienced Investor who does not fall under subparagraphs (a) to I above is €100,000 or the equivalent in foreign currency.
Normally, a prospectus or memorandum will state that “this prospectus or memorandum does not constitute a general offer or invitation to the public to subscribe for the Securities (such as “Participation Shares,” “Bonds,” or “Note”) in the Company, other than Experienced Investors as defined.”
